Investment Agreement v1.0

Welcome to a new paradigm of investment and ownership. This document outlines the process, terms, and vision behind investing in One Machina, an AI-enabled digital creator platform designed to revolutionize how intellectual capital is created, shared, and monetized.

What Is One Machina?

One Machina is creating a digital atelier where art, learning, science, and technology (spiritual and digital) intersect. We are building an AI-enabled digital creator platform that houses intellectual capital and connects visionaries, creators, and investors.

We’re building a world where:

• Creators thrive with greater access to capital and opportunity
• Visionaries implement bold ideas without traditional constraints
• Innovation flows without barriers
• Value is distributed fairly among all contributors

Our Ownership Model

One Machina operates on a revolutionary ownership model:

• 35% to visionaries (strategic leadership)
• 49% to creators (implementation and building)
• 16% to capitalists (funding)

All shares are valued at $1 each. As intellectual capital grows, the number of shares grows – creating value for all stakeholders. We are growing the pie, not slicing the pie.

How Your Investment Works

1. For Capitalists: Each $1 invested buys 1 share in One Machina
2. For Creators & Visionaries: For every $1 of work you contribute, you receive both payment for your work AND a $1 investment in intellectual capital (1:1 matching)
3. You receive quarterly profit distributions based on your percentage allocation
4. 20% of all profit must be reinvested each year (or you can sell your shares)
5. As projects succeed and intellectual capital grows, new shares are created, expanding the ecosystem’s total value

Simplified Example

Initial Investment:

• You (Investor): $200 cash → 200 shares
• Visionary: $200 worth of work → paid $200 for work + receives 200 shares in intellectual capital
• Creator: $600 worth of work → paid $600 for work + receives 600 shares in intellectual capital
• Total Shares: 1,000 shares (each worth $1)

Returns: If the project generates $5,000 in profit:

• Visionaries receive: $1,750 (35% of profit)
• Creators receive: $2,450 (49% of profit)
• Capitalists receive: $800 (16% of profit)
• 20% of all distributions ($1,000) is reinvested into the platform

Your personal return as an investor who contributed 20% of the capital would be: $160 (20% of the capitalist allocation)

Transparency Commitment

All investors must agree to transparency. Your name and investment amount will be publicly listed as part of our commitment to operating with radical openness and accountability.

Investment Process

To invest in One Machina:

1. Read this agreement carefully
2. Send your investment via Cash App to: https://cash.app/$crystalanntaggart
3. Include in the note: “OM” and your email address
4. You’ll receive: Monthly statements showing your balance, investments made (deliverables/projects in progress), and current profits

Special Terms

By investing, you acknowledge and agree that:

1. This is v1.0 of our contract and serves as a testbed for a new economic ownership model
2. We may identify bugs or improvements to the model, in which case:
   • We will exchange your shares for new shares (with your agreement)
   • Or buy out your shares based on their value (each share is worth $1)
3. We reserve the right to buy out investors who demonstrate “bad juju” (including but not limited to illegal activities, abuse of others, or actions that harm the community)
4. If you have “dark karma,” please do not invest

Legal Information

This investment opportunity is offered by Crystal Taggart Enterprises LLC, Phoenix, AZ. One Machina is not currently incorporated in the United States due to regulatory barriers to innovation. Country of incorporation is to be determined.
